Introduction & acceptance

These Terms & Conditions ("Terms") constitute a binding agreement between PipeRocket Digital Marketing ("PipeRocket," "we," or "our") and you or the organization you represent ("Client," "you," or "your"). By engaging our services, you accept all terms outlined herein. If you do not agree, you must not use our services.

These Terms are effective as of the date of execution and apply to all services provided by PipeRocket.

Description of services

  • Strategy Development: Creating customized marketing strategies based on your business goals and market analysis.
  • Performance Reporting: Generating comprehensive reports using data from your authorized marketing tools and platforms.
  • Insights & Analytics: Analyzing marketing performance data to identify trends, opportunities, and areas for optimization.
  • Content & Optimization: Recommending and implementing marketing optimizations and content strategies.
  • Tool Integration: Requesting and managing access to your marketing and Customer Relationship Management (CRM) tools (including but not limited to Ahrefs, Semrush, Google Analytics 4, Google Search Console, Google Ads, HubSpot, and Salesforce).

Services are provided on a monthly retainer or project basis as specified in your engagement letter or statement of work.

Client responsibilities & obligations

Client agrees to:

  • Provide accurate, complete information about business goals, target audience, and existing marketing infrastructure.
  • Grant access to authorized marketing and Customer Relationship Management (CRM) tools only after explicit authorization and formal approval. No access to any account will be requested or used without prior written consent.
  • Maintain the accuracy and security of all login credentials and access information shared with PipeRocket.
  • Notify PipeRocket immediately if credentials are compromised or if access should be revoked.
  • Review and approve recommendations in a timely manner to ensure service continuity.
  • Ensure that providing access to third-party tools does not violate any existing agreements with those platforms or their terms of service.

Intellectual property & ownership

Ownership of Deliverables:

  • All reports, strategies, recommendations, analyses, and original content created by PipeRocket are the property of the account manager and the team working on your account.
  • Client retains ownership of all data originating from their own accounts (e.g., data in Google Analytics 4, HubSpot, Ahrefs).
  • Client receives a non-exclusive, non-transferable license to use deliverables for internal business purposes during the engagement term.

Third-Party Tools:

PipeRocket does not own or control the third-party tools (Ahrefs, Semrush, Google Analytics 4, Google Ads, HubSpot, Salesforce, etc.) accessed on your behalf. All data within those platforms remains subject to their respective terms of service and your agreement with them.

Service model & fees

Engagement Structure:

  • PipeRocket services are available on a monthly retainer basis or as project-based engagements.
  • Specific fees, deliverables, and terms will be outlined in your engagement letter or statement of work (SOW).

Payment Terms:

  • Invoices are issued monthly (for retainers) or upon project completion (for project-based work).
  • Payment is due within 30 days of invoice date unless otherwise specified.
  • Late payments may accrue interest at 1.5% per month or the maximum rate allowed by law.
  • All fees are exclusive of applicable taxes, which will be added as required by law.

Data handling & confidentiality

By engaging PipeRocket, you authorize us to:

  • Access your authorized marketing and Customer Relationship Management (CRM) tool accounts only for the purpose of delivering services.
  • Store and process data from these tools in our secure Google Workspace environment (refer to Privacy Policy for details).
  • Share data only with team members actively working on your account and with your explicit consent.

Confidentiality:

  • All client information and data accessed through third-party tools is treated as strictly confidential and will not be disclosed to third parties without your written consent, except as required by law.
  • PipeRocket team members sign confidentiality agreements and are bound by strict data handling policies.

Warranties & disclaimers

Warranty of Services:

PipeRocket warrants that services will be provided in a professional and workmanlike manner consistent with industry standards.

Disclaimer:

  • We do not guarantee specific marketing results, revenue increases, or performance metrics. Marketing outcomes depend on many factors beyond our control, including market conditions, platform algorithm changes, and external factors.
  • Data obtained from third-party tools is provided on an "as-is" basis. We do not warrant the accuracy or completeness of data from these platforms.
  • PipeRocket is not liable for delays, inaccuracies, or failures caused by third-party tool downtime, Application Programming Interface (API) changes, or platform policy changes.

Limitation of liability

To the maximum extent permitted by law:

  • Direct Damages Cap: PipeRocket's total liability for any claims arising from these Terms shall not exceed the fees paid by Client in the 12 months preceding the claim.
  • Exclusion of Consequential Damages: PipeRocket shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost data, lost business opportunity, or business interruption, even if advised of the possibility of such damages.
  • No Liability for Third-Party Actions: PipeRocket is not liable for actions, inactions, or failures of third-party tool providers, payment processors, or other external services.

Some jurisdictions do not allow limitations of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

Data breach & incident response

In the event of a suspected data breach, unauthorized access, or security incident involving Client data:

  • Investigation: PipeRocket will promptly investigate the incident to determine the scope and cause.
  • Remediation: We will take immediate corrective action to prevent further unauthorized access or data exposure, including re-securing affected systems and modifying access controls.
  • Notification: We will notify Client of the incident without unreasonable delay, providing details about the data involved, the nature of the breach, and steps taken to remediate.
  • Cooperation: We will cooperate fully with law enforcement, regulatory authorities, and your own incident response efforts as required.
  • Documentation: We will maintain detailed records of the incident and our response for audit and compliance purposes.

Changes to these terms

PipeRocket may update these Terms at any time. Material changes will be communicated via email with at least 30 days' notice. Your continued engagement after the notice period constitutes acceptance of the revised Terms.
